These Terms and Conditions ("Agreement") govern your use of the ESG Blockchain Technology Platform ("Platform"), provided by ACE ESG Limited, a company registered in Hong Kong ("Provider"). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree with any of the terms and conditions stated herein, you may not use the Platform.
1. Platform Usage
1.1 Eligibility: You must be at least 18 years old and possess the legal capacity to enter into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.
1.2 User Account
To access certain features of the Platform, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify the Provider immediately of any unauthorized use of your account.
1.3 Prohibited Activities
You agree not to use the Platform for any unlawful, fraudulent, or unauthorized purposes. You shall not engage in any activity that could harm or disrupt the Platform or its users. Additionally, you must comply with all applicable laws and regulations while using the Platform.
2.1 Ownership
The Platform and all its contents, including but not limited to text, graphics, logos, images, and software, are the property of the Provider and are protected by intellectual property laws.
2.2 License
Subject to your compliance with this Agreement, the Provider grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended purposes.
2.3 Restrictions
You shall not modify, reproduce, distribute, create derivative works of, publicly display, or exploit any part of the Platform without the Provider's prior written consent.
3.1 Collection and Use
The Provider may collect and process personal data in accordance with applicable data protection laws and its Privacy Policy. By using the Platform, you consent to the Provider's collection and use of your personal data as described in the Privacy Policy.
3.2 Security
The Provider implements reasonable security measures to protect your personal data. However, the internet is not entirely secure, and the Provider cannot guarantee the absolute security of your data. You acknowledge and accept the inherent risks associated with transmitting information over the internet.
4.1 Platform Availability
The Provider strives to maintain the availability and functionality of the Platform but does not guarantee uninterrupted access or error-free operation. The Platform is provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied.
4.2 ESG Information
The Provider may provide ESG information and data through the Platform. However, the Provider does not warrant the accuracy, completeness, or reliability of such information. You acknowledge that any reliance on ESG information obtained through the Platform is at your own risk.
5.1 Indirect Damages
To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to this Agreement or your use of the Platform.
5.2 Liability Cap
In no event shall the Provider's total liability exceed the amount paid by you, if any, for using the Platform during the six months preceding the event giving rise to the liability.
6.1 Termination
The Provider may, at its sole discretion, suspend or terminate your access to the Platform without prior notice and for any reason, including but not limited to a breach of this Agreement.
6.2 Effect of Termination
Upon termination, your right to use the Platform shall cease immediately, and you shall delete any copies of the Platform or its contents in your possession.
7.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong.
7.2 Jurisdiction
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
